These Terms of Service ("Terms") govern your access to and use of VNDLY (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.
VNDLY is a cloud-based SaaS platform for inventory management, purchasing, sales orders, invoicing, and fulfillment. The Service includes multi-tenant architecture, optional AI features, and integrations such as Shopify, WooCommerce, and EasyPost. Features and limits may vary by plan, and we may enhance the Service over time.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and notify us promptly of any unauthorized use or security breach.
New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start the trial. At the end of the trial, you may select a paid plan or discontinue use.
Subscription plans include defined limits for users, locations, and monthly orders. Users and locations are hard-gated: exceeding the limit requires an upgrade before adding more. Orders are soft-limited: when you reach your monthly order limit, you may complete the current billing period, but new orders may be blocked at the start of the next period unless you upgrade.
Paid plans are billed in advance on a monthly or annual basis and renew automatically until cancelled. Billing is processed by Stripe.
Upgrades are prorated and take effect immediately. Downgrades take effect at the start of the next billing period.
You may cancel at any time from your account settings. After cancellation, you retain access to the Service until the end of the current billing period. We do not provide refunds for unused time.
We retain account data for 30 days after cancellation to allow for reactivation. After 30 days, data is permanently deleted from our systems, except where retention is required by law.
VNDLY and its licensors own all rights, title, and interest in the Service, including software, branding, and documentation. You retain ownership of your data and content submitted to the Service.
If you enable AI features, you provide your own API keys (BYOK). Keys are encrypted using AES-256-GCM and are sent only to the AI provider you select. AI outputs are generated by third parties and are not guaranteed to be accurate. VNDLY does not train AI models on your data.
The Service may connect with third-party services such as Shopify, WooCommerce, EasyPost, and Stripe. VNDLY is not responsible for outages, changes, or data practices of third parties. Your use of those services is governed by their terms and policies.
You agree not to misuse the Service, interfere with its operation, or use it in a way that violates applicable laws or the rights of others. We may limit, suspend, or terminate access if we detect abusive, fraudulent, or excessive use.
You agree to indemnify and hold harmless VNDLY, its affiliates, and its personnel from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.
To the maximum extent permitted by law, VNDLY is not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities. Our total liability for any claim is limited to the amount paid by you for the Service in the 12 months preceding the claim.
The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uptime or uninterrupted availability and may perform maintenance that affects access.
We may update these Terms from time to time. We will provide at least 30 days notice by email before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by Swedish law. Any disputes will be subject to the exclusive jurisdiction of the Stockholm District Court.
Before filing a claim, the parties agree to attempt good-faith negotiations. If unresolved, the dispute will proceed to mediation in Stockholm, and then to court if necessary.
You may not use the Service in violation of applicable export control or sanctions laws, including use in sanctioned countries or by restricted parties.
